(Exclusive) Music Distribution Agreement

Our Agreement

• Music Label Group will share your music with digital platforms around the world.
• You keep all the ownership rights to your music (your "copyrights").
• Music Label Group will collect the money your music earns ("royalties") and pay it to you.
• You promise that you have all the necessary rights to the music and content you give us.

Agreement Details

What We're Doing

You agree to give Music Label Group your music and related materials (your "Content") only to us for license & distribute everywhere ("World") during the agreed time ("Exclusive Distribution Period"). This includes all your past and new music.

What "Content" Means

• All your recorded songs, music videos, and extra materials (like album art, lyrics) that you own or control during this agreement.
• Anything you send us through our online system ("Distro") or other agreed methods.
• All the details and information about your music ("metadata").

How Long This Agreement Lasts

This agreement starts today and will continue for three (3) years from the date you give Music Label Group your first song (the "Initial Period"). It will automatically renew for two (2) year periods ("Extended Period") unless either party gives three (3) months' written notice not to renew.

Payment & Rights

How You Get Paid

Revenue Sharing: You will receive 80% of the money Music Label Group collects after deductions like mechanical rights fees and taxes.

What Rights You Give Music Label Group (Exclusively)

1. Digital Distribution & Promotion: Full rights to distribute, monetize, market, and promote your Content on all digital platforms.
2. Third-Party Platforms: Right to send your Content to DSPs, chart companies, etc.
3. Branding and Publicity: Permission to use your artist name, image, photos, and biography for promotion.
4. User-Generated Content (UGC) Management: Exclusive right to manage your Content on platforms like YouTube, TikTok, and Instagram.
5. Dealing with UGC Ownership Fights: A process for resolving ownership claims.

Content, Mechanicals & Financials

Delivery and Release Dates

We will mutually agree on release dates. Late delivery (less than 1 week before release) may cause delays by DSPs.

Mechanical Rights

You are responsible for securing "mechanical licenses." If we pay these for you, costs will be deducted from your earnings.

Payment, Taxes & Audits

We provide monthly statements. Payments are made when your balance exceeds $50. You are responsible for your taxes. You can audit our records once a year.

Your Promises & Claims

Promises You Make

You promise you have the full right to enter this agreement, your Content is original or licensed, all permissions are obtained, and it complies with all laws.

Claims & Who Pays for What

You agree to handle any claims against your Content. We have procedures for DMCA notices and fraud. Each party protects the other from losses due to a breach of this agreement.

YouTube Partnership

You hereby agree to enter into YouTube Partnership with Music Label Group & Danmark Music, herein referred to as MCN.

Monetization

MCN supports partner videos through automatically-targeted ad formats. MCN generates revenues through advertisements / product placements/sponsorship, where possible on behalf of its Artists, Creators and Brands.

Ownership and Control of Content

• a – You here by agree for the duration of this agreement to give us full rights to, monetize, manage, optimize, distribute and edit your content under MCN.
• b – The non-exclusive right to use your name and likeness, as well as to display your trademarks and trade names, if any, to promote your Channel or the MCN Network.
• c – You retain full copyright, ownership and control of your own works / content .
• d -You retain complete creative direction and control over your Channels and Content.

Services

MCN will provide you with its services and proprietary tools to help you manage your Channel and grow your audience on YouTube, Multi channel dedicated programming, Channel management, monetization, partner promotion, channel optimization, Channel Design (Banners/Graphics) Support, Sales, Technical Support, Multi – platform music/video distribution, and metadata management.

In exchange, your Channel will become part of the MCN channels and MCN will receive a share of revenue generated by your Channel based on the terms below.

Earnings

• a – You will receive 80 % of YouTube earnings generated by your channel.
• b – You will be paid to your Pay Pal account or via transfer to your preferred bank account.

A threshold applies. This means once your total earnings reach a set threshold of USD 50,00 you will receive payment on a monthly basis. (Example:- revenue generated in January are paid to MCN at the end on February. You will receive payment in March.)

You can always check your YouTube gross earnings yourself by logging in to your channel and checking the Earnings Reports section of your YouTube Analytics pages.

Taxes

You are responsible for paying your local taxes.

Content Creation

As a YouTube Partner/Content Provider you agree to read and follow all of YouTube’ s Terms, Conditions, Community Guidelines, Content Policy Guidelines and Program Policy Guidelines, links to YouTube Program Policies will be provided (see below).

You agree to only upload content that is fully owned and controlled by you e.g.: music, video, images, sound/effects etc.

YouTube Partnership is about making great content for the benefits of yourself, Us, YouTube and the audience

You agree to put in your best effort to regularly produce and upload new exciting content to your channel. You may not upload Content or attempt to monetize Content that infringes on the rights of others. Promoting any form of hatred / racism is strictly prohibited.

Promotion

We will by all means possible cross promote your channel and videos by using (parts of) content, when we do so we will always mention you in credits and / use annotations linking to your channel aimed at building / directing traffic to the channel and growing subscriber base.

In order to show advertisers which channels are part of our Network, you agree to reasonably comply with promotional requests made by us from time to time, These requests may include but not limited to:

Placement of the following on your Channel: MCN logo or network branding; playlist; featured channels; video interstitial’s or end-slates; and

Cross-promotion of our Network on your Channel: annotations, links, and other cross-promotions which may be implemented by manual or automated means. You may always opt out of such promotions. Partner for success.

Term & Termination

Ending The Agreement

The agreement can be ended for cause (e.g., bankruptcy) or by notice before a renewal period. Early termination by you requires a $200 fee.

Other Important Points

This document also covers data privacy, anti-fraud, legal jurisdiction (United States of America), confidentiality, and other standard legal clauses. By signing, you agree to all terms contained herein.
